This course introduces various aspects of commercial contracts under contract law in India and various issues under these commercial contracts that arise in practice. The idea will be to focus of some of these contracts as they appear in the infrastructure sector. The issues can range from legal issues, commercial issues and techno-commercial issues that arise under these contracts and the applicability of statutes, delegated legislation and judicial pronouncements. An important and substantial part of the course will also deal with the government as a contracting party in the infrastructure sector and important issues faced by lawyers while dealing either for or on behalf of government entities and approach that needs to be adopted to tenders. The other aspects of this course will deal with legal due diligence of commercial contracts, corporate law issues, bankability concepts and enforceability challenges.
