This is a practice-oriented course designed to help the students achieve a foundational understanding of the law and practice of venture capital financing.
This course will introduce students to concepts which are unique to venture capital financing such as valuation of start-ups, anti-dilution, liquidation preference etc; as well as other broader concepts such as governance rights, indemnification, share transfer and exit related concepts which are also relevant in other transactional law practice areas.
The focus will be on early and growth stage investment deals by foreign institutional investors into Indian start-ups and accordingly, the course will also deal extensively with the foreign exchange control regulations.
