This course is a standalone elective. We will examine commercial contracts in the context of the IT sector, practice how to read and understand common clauses, and engage in simulations and discussions of negotiation strategies.

We will study typical contractual provisions in the context of some frequently used technology contracts. The templates of a Confidentiality Agreement, a Master Services Agreement, a Licensing Agreement and a Reseller Agreement will inform our discussions and analysis. Clauses will also be examined in the context of cross-border contracting. Complex technology transactions, however, fall outside the scope of this course.

This course will consist of lectures and seminar-style discussion. Students will engage with prescribed readings (as detailed against each session below), complete exercises, and carry out simulated negotiation exercise(s) (individually or in groups).
